Put it in restore mode, update it to whatever it recommends, then update it again

For restore mode, hold power and home at the same time, and then just hold the home button until it says connect to itunes.

Will that mean I lose all my data? Texts, Apps Media etc

Backup everything in iTunes and make sure the boxes are checked for all sync categories. For extra measure, backup with AppBackup and save the directory to your computer, also get PkgBackup and save to dropbox

To clarify on putting your phone in restore/recovery mode - make sure iTunes is open and your phone is connected to the computer via the dock connector. Press and hold the power and home buttons. Once the phone turns off, release the power button, but keep holding the home button. You'll see the connect to iTunes screen appear, and you can release the home button. Your phone is now in recovery mode.

Are you sure your iTunes is up to date? Try updating iTunes first and then update your phone.
